These Terms of Use (“Terms”) govern your access to and use of the IIISIDE website, platform, and related services (collectively, the “Services”). By accessing or using IIISIDE, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

 

IIISIDE is owned and operated by Polyflex Capital Corp, a corporation incorporated in Alberta, Canada.

 

1. About IIISIDE

IIISIDE provides an online platform for listing and browsing ASIC hardware, build-out-ready sites, energy-related properties, and contractor or service provider listings. IIISIDE is a technology platform only and does not act as a broker, agent, dealer, or fiduciary for hardware, properties, or services.

 

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms to use the Services. By using IIISIDE on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

 

3. Account Registration

To access certain features, including submitting listings, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain the security of your login credentials

• Be responsible for all activity occurring under your account

IIISIDE reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

 

4. Listings

a. Submission and Approval

All listings submitted to IIISIDE—whether hardware, sites, or services—are subject to review and approval. IIISIDE reserves the right to approve, reject, edit, or remove listings at any time, with or without notice.

 

b. Accuracy of Information

You represent and warrant that all information submitted in a listing is accurate, lawful, and not misleading. IIISIDE does not verify listing information and makes no guarantees regarding accuracy or completeness.

 

c. Public Visibility

Approved listings may be publicly visible on the platform. Do not include confidential or sensitive information that you do not wish to be disclosed publicly.

 

5. Subscriptions, Fees, and Billing

An active subscription may be required to submit or maintain listings.

• Subscription fees are billed in advance according to the plan selected

• Subscriptions may be canceled at any time

• No refunds are provided for the current billing period once payment has been processed

• IIISIDE reserves the right to modify pricing or subscription terms with notice

Failure to pay applicable fees may result in suspension or removal of listings. Payments are processed through third-party providers; IIISIDE does not handle or hold funds directly.

 

6. Acceptable Use

You agree not to:

• Submit false, misleading, or unlawful listings

• Use the Services for fraudulent or deceptive purposes

• Scrape, harvest, or extract data without authorization

• Interfere with platform functionality or security

• Use IIISIDE to solicit users outside the intended purpose of the platform

IIISIDE may investigate and take appropriate action for violations, including account termination.

 

7. Intellectual Property

All content, branding, trademarks, logos, and platform software are the property of IIISIDE or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

By submitting content to IIISIDE, you grant IIISIDE a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with the Services.

 

8. Third-Party Links and Services

IIISIDE may contain links to third-party websites or services. Access to these resources is at your own risk. IIISIDE is not responsible for the content, practices, or policies of third parties.

 

9. Disclaimers

The Services are provided on an “as-is” and “as-available” basis. IIISIDE makes no warranties, express or implied, including accuracy, suitability, availability, or fitness for a particular purpose.

IIISIDE does not guarantee that any listing will result in a transaction, inquiry, or engagement.

 

10. Limitation of Liability

To the maximum extent permitted by law, IIISIDE and Polyflex Capital Corp shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.

IIISIDE’s total liability for any claim shall not exceed the amount paid by you to IIISIDE in the twelve (12) months preceding the claim.

 

11. Indemnification

You agree to indemnify, defend, and hold harmless IIISIDE and Polyflex Capital Corp from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, your listings, or your violation of these Terms.

 

12. Termination

IIISIDE may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, any active listings may be removed.

 

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

 

14. Changes to These Terms

IIISIDE reserves the right to update or modify these Terms at any time. Changes will be effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
